Terms of Trade

These Terms of Trade (“Terms”) govern the provision of services by Shelby Metals Ltd (“we”, “our”, “us”) to our clients (“you”, “your”). By engaging our services, you agree to these terms.

1. Definitions

Services: Scrap metal collection, sorting, processing, recycling, or related services provided by Shelby Metals Ltd.
Client: Any individual or organisation engaging our Services.
Personnel: Employees, contractors, or agents of Shelby Metals Ltd delivering Services.

2. Scope of Services

Services are provided as agreed in quotations, contracts, or instructions.
Variations must be agreed in writing.
We may subcontract elements of work while retaining responsibility for quality and compliance.

3. Fees & Payment

All fees are payable within 30 days of invoice unless otherwise agreed.
We reserve the right to suspend Services for non-payment.
Fees exclude VAT unless stated otherwise.
Late payments may incur interest at the statutory rate.

4. Client Obligations

Provide accurate, timely information and access necessary for service delivery.
Ensure safe access to sites and compliance with applicable health and safety regulations.
Retain responsibility for hazardous materials unless otherwise agreed.

5. Liability & Indemnity

We provide Services with reasonable skill and care.
Liability for indirect, consequential, or special losses is excluded.
Total liability is limited to fees paid for the relevant Services.
Clients indemnify us against claims arising from misuse, negligence, or breach of law.

6. Termination

Either party may terminate for material breach with written notice.
Termination does not affect accrued rights, fees, or confidentiality obligations.

7. Governing Law

These Terms are governed by the laws of England and Wales, with disputes under the jurisdiction of its courts.
